- COMPANY DESCRIPTION, PROFILE AND SCOPE OF ROLE:Our Client is well established multi million pound manufacturing business and world leader in their field.This role represents an excellent career development opportunity for an experienced commercial/corporate solicitor or similar to become the first/lead member of a newly established legal team, to act as Legal Counsel/Internal Legal Advisor. Working in largely antonymous manner, the successful candidate will be responsible for building an in-house team as the organisation continues to grow in size and geography.Reporting to the CFO the successful candidate will assist in framing contracts with customers, suppliers and other vested interests. Being the sole legal head the candidate will need to be multi skilled and will also provide advice to various departments across the organisation, both within the UK and the US. You will have external support where required and will co-ordinate with external lawyers where required. You may also be required to assist in any M&A activity the company embarks on. Other matters may include, reviewing legal material/summarizing and upkeep of database, as well monitoring the implementation of legal clauses and helping in up keeping the company’s corporate records.KEY DUTIES & RESPONSIBILITIES:• Draft, review and negotiate a number of commercial contracts to best protect the commercial and legal interests of the business and create added value.• Working with the Procurement team and providing legal advice on a wide range of supplier contracts (ingredients, packaging, professional services, IT, logistics, advertising, engineering and maintenance services, equipment supply, Human Resources, data protection agreements) to protect the organisation's commercial and legal position and minimise risk;• Talent contracts including assessment of risk.• Continually improve standard contracts and guidance to reflect improvements and changes to processes and legislation.• Advising on avoiding and managing disputes and advising on strategy for resolution including risk assessment, negotiating settlements, drafting correspondence and preparing for litigation;• Manage and advise in relation to other ad hoc matters as they occur including employment and low value property matters, consumer care support, company secretarial matters, and support to the regulatory team.• Keep abreast of legal updates and sharing with the team and stakeholders as necessary in the form of training sessions, guidance notes etc.
QUALIFICATIONS, EXPERIENCE, SKILLS AND ATTRIBUTES:• Post qualification experience of 2 to 5 years – having worked across various departments (Commercial, corporate law, HR etc.)• proven background in company commercial and commercial contract law• English law qualified solicitor• Strong academic record• Corporate/commercial law experience from a leading law firm or in house• Excellent knowledge of contract and commercial law• Job Offer• Knowledge of US commercial/corporate law would be advantageous• Knowledge of FMCG or cGMP brand with strong heritage.
